国有企业混合所有制改革下的治理结构探讨-基于绿地集团改革启示(硕士)(论文29000字)
摘 要
目前我国国有企业普遍存在效率低下且片面追求业务规模扩张、市场扩张的问题，存在只注重短期经济效益，忽视经营的长期绩效管理的问题，非理性化经营和投资的情况日益严重。种种迹象显示，国有企业制度模式已越来越不利于市场化背景下的中国经济发展，甚至更为严重的引发了个人贪污和腐败问题，而导致目前国有企业非理性化经营行为的深层根源在于虽然我国的经济由计划经济向市场经济的转轨基本上完成，但是国有企业的改革并不十分彻底，公司治理结构和机制上明显还带有浓厚的行政和计划色彩，公司治理结构也不尽完善。
目前, 我国大部分国有企业通过多年实践已初步建立了公司治理结构，主要通过“三会”的方式治理公司。总体而言，国有企业公司治理得到了一定的发展，处于不断完善阶段，但是目前对于国有企业公司治理的研究偏重于理论的探讨，未提供很好的解决途径，实证研究较少。本文通过对国有企业公司冶理结构上存在的问题研究，基于绿地集团混合所有制改革下的公司治理结构状况，探讨并提出了国有企业混合所有制改革下公司治理结构的改进完善的方向，为当前我国国有企业的公司治理结构的优化提供了直接依据，对于国有企业开展混合所有制改革也具有非常重要的意义。
本文共分为七章。第一章主要是研究的必要性研究思路和方法。第二章主要是文献综述，阐明国有企业公司治理结构的研究现状。第三章主要是我们国有企业公司治理的发展状况。第四章阐述目前我国国有企业公司治理结构上存在的问题。第五章提出混合所有制改革下的公司治理结构。第六章是案例分析。第七章是在案例分析的基础上提出建议。

Abstract
The state-owned enterprise of our country widespread inefficient and one-sided pursuit of expansion of business scale, market expansion, there is only focus on short-term economic benefits and ignore the long-term performance management problems, non rational management and investment situation is becoming increasingly serious. All the signs show that state-owned enterprise system is more conducive to market under the background of China's economic development, even more caused serious personal graft and corruption, which led to the current state-owned enterprises non rational behavior of the deep roots while China's economy from a planned economy to a market economy transition basically completed, but the reform of state-owned enterprises is not very thorough, corporate governance structure and mechanism is apparent with strong administrative and color schemes, corporate governance structure is not perfect.
At present, most of the state-owned enterprises in our country have established the corporate governance structure through many years of practice, mainly through the way of "three". Overall, the corporate governance of state-owned enterprises has been some development, continuous improvement in the stage, but at present the state-owned enterprise corporate governance research focused on exploring the theory, did not provide good solutions, little empirical research has been done.Based on State-owned Enterprises Company metallurgical physical and Research on the problems of the structure of the existing, Greenland Group mixed ownership reform of corporate governance structure based on, study and the state-owned enterprises of mixed ownership reform and improvement of corporate governance structure of the perfect direction, for the optimization of the corporate governance structure of the state-owned enterprises of our country provides direct basis for state-owned enterprises to develop the mixed ownership reform also has a very important significance.
This paper is divided into seven chapters.The first chapter is mainly to study the necessity of research ideas and methods.The second chapter is the literature review, to clarify the status quo of the governance structure of state owned Enterprise Inc. The third chapter is the development situation of the management of our state-owned Enterprise Inc.The fourth chapter elaborates the problems existing in the governance structure of state owned Enterprise Inc in China.In the fifth chapter, we put forward the corporate governance structure under the reform of the mixed ownership system.The sixth chapter is the case analysis.The seventh chapter puts forward the suggestion on the basis of case analysis.
